1. Definitions

• "Limestack Works Pvt Ltd" refers to Limestack Works Pvt Ltd and its team, operating under limestackworks.com.
• "Client" refers to any individual or organisation engaging Limestack Works Pvt Ltd for services.
• "Services" refers to web development, mobile development, software engineering, digital marketing, and related offerings provided by Limestack Works Pvt Ltd.
• "Website" refers to limestackworks.com and all its pages.
• "Agreement" refers to a signed proposal, statement of work (SOW), or written confirmation of service engagement.

2. Use of This Website

By using this website, you agree to:

• Use the site only for lawful purposes and in a manner that does not infringe the rights of others.
• Not attempt to disrupt, damage, or gain unauthorised access to any part of the website or its infrastructure.
• Not reproduce, distribute, or commercially exploit any content from the website without prior written consent from Limestack Works Pvt Ltd.

We reserve the right to restrict or terminate access to the website for any user who violates these terms.

3. Services & Engagements

All service engagements are governed by a signed proposal or statement of work. General terms applicable to all engagements:

• Scope, deliverables, timelines, and pricing are defined in the applicable Agreement.
• Changes to scope requested after project commencement may be subject to additional cost and timeline adjustments.
• Limestack Works Pvt Ltd reserves the right to subcontract or assign work to qualified team members or partner organisations.
• Project kick-off commences upon receipt of the agreed deposit and signed Agreement.

4. Payment Terms

• Unless otherwise agreed, a deposit of 50% of the total project fee is due before work commences.
• The remaining balance is due upon project completion and before final assets or access credentials are delivered.
• For retainer or ongoing engagements, invoices are issued monthly in advance.
• Invoices are payable within 14 days of issue unless otherwise specified in the Agreement.
• Late payments may incur interest at 1.5% per month or the maximum permitted by law, whichever is lower.
• All fees are quoted exclusive of applicable taxes unless stated otherwise.

5. Intellectual Property

Client-owned materials: All assets, content, data, and materials provided by the Client remain the Client's intellectual property.

Deliverables: Upon receipt of full payment, Limestack Works Pvt Ltd assigns to the Client full ownership of the custom deliverables created specifically for the project (excluding pre-existing frameworks, libraries, or tooling).

Limestack Works Pvt Ltd IP: Pre-existing tools, frameworks, proprietary methodologies, code libraries, and internal systems used in project delivery remain the property of Limestack Works Pvt Ltd. The Client receives a perpetual, non-exclusive licence to use them as incorporated in the deliverables.

Portfolio rights: Unless the Client requests confidentiality in writing prior to project commencement, Limestack Works Pvt Ltd reserves the right to reference the project and use non-sensitive outputs in its portfolio and marketing materials.

6. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information disclosed during the engagement. This obligation survives termination of the Agreement for a period of 2 years. Confidentiality does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

7. Client Responsibilities

Timely delivery of agreed project outcomes depends on Client cooperation. The Client agrees to:

• Provide required content, assets, access, and approvals within agreed timelines.
• Designate a primary point of contact empowered to make project decisions.
• Review and provide feedback within the turnaround times specified in the Agreement.
• Ensure all content and materials supplied are owned by or licensed to the Client.

Delays caused by the Client may result in revised timelines or additional costs at Limestack Works Pvt Ltd's discretion.

8. Revisions & Change Requests

Revision rounds included in a project are specified in the Agreement. Requests beyond the agreed scope will be scoped and quoted separately before work proceeds. Limestack Works Pvt Ltd will notify the Client before undertaking out-of-scope work.

9. Warranties & Disclaimers

Limestack Works Pvt Ltd warrants that services will be performed with reasonable care and skill. Beyond this:

• The website and its content are provided "as is" without warranties of any kind, express or implied.
• We do not warrant that the website will be uninterrupted, error-free, or free of viruses.
• Results from digital marketing services (SEO, PPC, social media) are influenced by third-party platforms and cannot be guaranteed.

10. Limitation of Liability

To the maximum extent permitted by law:

• Limestack Works Pvt Ltd's total liability for any claim arising from an engagement is limited to the total fees paid by the Client under the applicable Agreement in the 3 months preceding the claim.
• Limestack Works Pvt Ltd is not liable for indirect, consequential, incidental, or punitive damages, including loss of profits, revenue, or data.
• Limestack Works Pvt Ltd is not liable for third-party services, platforms, or tools used in delivery (e.g., hosting providers, payment gateways, ad networks).

11. Termination

By the Client: Engagements may be terminated with 14 days' written notice. Work completed up to the termination date is billable. Deposits are non-refundable unless Limestack Works Pvt Ltd is in material breach.

By Limestack Works Pvt Ltd: We may suspend or terminate an engagement if the Client is in material breach (including non-payment), with 7 days' notice to remedy. Upon termination, deliverables completed to date are provided upon settlement of outstanding fees.

12. Governing Law

These terms are governed by applicable law. Any disputes arising from these terms or service engagements will be resolved through good-faith negotiation in the first instance, followed by binding arbitration or litigation in the appropriate jurisdiction if unresolved.

13. Amendments

Limestack Works Pvt Ltd reserves the right to update these Terms & Conditions at any time. Changes are effective upon publication on this page. Continued use of the website or ongoing service engagements constitutes acceptance of the updated terms.
